The cheapest decision about your exit is made in year one.
Closing a Turkish company brings a tax review, and whoever runs the liquidation is personally exposed to what it finds. Almost everything that determines how that review goes was decided years earlier, in how the accounts were kept and whether anyone certified them.
Bookkeeping and filings are the baseline — every provider does them. What separates a Türkiye operation that closes cleanly from one that does not is annual certification by a sworn-in fiscal adviser, and the discipline that comes with it.
We coordinate accounting, tax, certification, VAT refunds and group audit. The acts reserved to the profession are signed by the licence holder.
What tam tasdik actually buys you.
Annual tax certification is a statutory attestation: a yeminli mali müşavir certifies that your corporate tax return and the accounts behind it comply with the law, and signs in their own name under Law No. 3568.
It is not an audit and it is not bookkeeping. Its effect is timing: positions are examined while the year is still open and the people involved still remember why a decision was taken.
Certified each year
Errors were found and corrected while they were cheap. The reviewer meets documented positions rather than open questions. The liquidation is a process with a timetable.
What we set upNot certified
Several years of records assembled at once, by people who may have left, about decisions nobody wrote down. The liquidation becomes open-ended, and the exposure is personal.
The defaultLegal basisCertification is reserved to sworn-in fiscal advisers under Law No. 3568 on certified public accountancy and sworn-in fiscal advice. Whether certification is mandatory for a given company depends on its size and circumstances; the reason to want it is separate from whether it is required.
Same law, same review, very different experience. The difference was decided four years earlier.
Why we raise certification at the entry conversationThis is also why the exit conversation belongs at the beginning. A company that intends to be in Türkiye for a defined project has more reason to certify, not less — because it will actually reach the closure stage, and comparatively soon.
Your group reports under its own. Both have to tie.
Reconciled, not chosen between.
Turkish statutory accounts follow Turkish rules. Your group consolidation follows IFRS, US GAAP or UK GAAP. Neither replaces the other, and the reconciliation between them is a permanent piece of work rather than a year-end exercise — which is where DACH and North American groups usually feel the friction first.

Annual tax certification, VAT refund attestation and statutory audit are performed and signed by the licensed professionals entitled to perform them — a sworn-in fiscal adviser or a registered auditor, in their own name, under Law No. 3568.
We coordinate the process, hold the timetable, brief the specialist against the facts and are answerable to you for the result under your contract with us. The certification is not ours to sign and we do not suggest otherwise.
Questions we are actually asked.
Including the ones where the honest answer is that it depends on your numbers and belongs with your adviser.
What is tam tasdik and do we need it?
Annual tax certification — tam tasdik — is a statutory attestation in which a sworn-in fiscal adviser certifies that your corporate tax return and the accounts behind it comply with the law. It is not the same as an audit and it is not the same as bookkeeping.
Whether it is mandatory depends on your size and circumstances, and your adviser will tell you. But the reason to want it is not the obligation. It is that errors are found and corrected year by year, while they are still cheap, rather than surfacing at closure when they are not.
Who is allowed to perform it?
Only a yeminli mali müşavir — a sworn-in fiscal adviser licensed under Law No. 3568. They sign in their own name and carry professional responsibility for that signature. A certified public accountant at the other level of the same profession cannot perform it, and neither can we.
We coordinate the process and are answerable to you for it under our contract. The certification itself is signed by the licence holder, as the law requires.
Can we recover VAT if we mostly export?
Exporters and companies in certain other positions accumulate input VAT they cannot offset against output VAT, and there is a refund route. It is procedural, document-heavy and slow if the file is not built properly from the start.
Refund attestation is itself reserved to sworn-in fiscal advisers. The practical variable is not whether you are entitled — it is whether your invoices, declarations and supporting documents were kept in a state that supports the claim.
Our group reports under IFRS. Does that work here?
Turkish statutory accounts follow Turkish rules, and your group reporting follows yours. The two have to be reconciled rather than chosen between. We coordinate audit and conversion under IFRS, US GAAP and UK GAAP so the numbers your group consolidates tie back to the numbers filed here.
This is where DACH and North American groups usually feel the friction first, and it is cheaper to set up correctly than to reconstruct at year end.
Our Turkish entity is loss-making. Does that attract attention?
It can. A local entity reporting losses while the group does not is one of the patterns that draws scrutiny toward related-party pricing and thin capitalisation. Türkiye also applies a minimum corporate tax floor, so an entity can owe tax on a base computed before certain reliefs even when its commercial result is weak.
Whether and how these apply to your numbers is a question for your tax adviser on your actual figures. We will say so rather than offer a general answer that might not fit.
How does this connect to closing the company later?
Directly, and this is the part almost nobody raises at the start. The closure filing brings a tax review, and whoever runs the liquidation is personally exposed to what surfaces in it. A company whose returns were certified each year enters that review with positions already examined and documented.
A company that was not certified enters it by reconstructing five years of records under time pressure. Same law, very different experience.
Legislation named on this page: Law No. 3568 on sworn-in fiscal advisership. The Official Gazette date and issue for each is on the key figures page, read at source rather than restated here — a citation does not change, but a copy of the law goes stale.
